Confidential information also includes notes, analyses, compilations, studies, forecasts, interpretations or other documents prepared by a Party or its agents that disclose or make available to them information provided to them by another party or its agents on or after the date of this Agreement in connection with the offering of the Preferred Shares; contain, reflect or are based on, in whole or in part. Each Party hereby undertakes that any Confidential Information provided to a representative shall be subject to such representative`s acceptance of the confidentiality of the information provided to it and the consent of such representative not to disclose such information to any person other than persons to whom either Party may provide such information under this Agreement; each party shall be deemed liable for any breach by its representatives of this Agreement. .
